RWD Technologies to be Acquired by General Physics
General Physics Corp. announced their signing of a definitive acquisition agreement with RWD Technologies earlier this month and is expected to pay about $28 million for their purchase.
Up until June 30, 2010, RWD was comprised of two components: a software products business and a consulting service. On July 7, the software products business was divested to Ancile Solutions, Inc. The consulting services group is what is being sold to General Physics.
Patricia Begley, chief operating officer of RWD Technologies, saidthe company will now become a division within General Physics. Begley said RWD is hoping to broaden GP’s presence in certain industries such as petroleum, manufacturing, health care and automotives.
“What we believe will happen is that there will be synergies within the clients that we support and that we have relationships with, that will allow us to bring broader solutions and continue to solve clients’ pain points,” Begley said, adding that key personnel who maintain relationships with clients will be transferring over.
“The capabilities that we had were more on the content development side,” Begley said. “There are some synergies there I had no capabilities for.”
Both companies were founded by the same individual, Robert W. Deutsch, and because of it, Begley noted, the companies share similar values.
“We believe that some of that shared focus on client satisfaction, quality of engagement and team work will help in ensuring the integration of the companies will be very smooth,” Begley said.
Coming with the change will be a transition from a private company, to a public one.“It will provide more transparency of financial results,” Begley said, adding that now the focus will shift from owner equity to shareholder value.
Scott N. Greenberg, CEO of General Physics Corporation, said that his company is striving to become a leader in custom training performance improvement and consulting services. With this acquisition, the company can branch out and strengthen, both industry-wise and practice-wise. He noted that RWD has some significant accounts.
